A holding company that does not trade
Ucorpora owns businesses and appoints the people who run them. It sells nothing, employs eleven people, and has no operations of its own.
Ucorpora was incorporated in 2004 and holds four operating companies in coffee processing, cocoa, cold storage and flexible packaging, plus one dormant company retained for a trademark.
The holding company itself employs eleven people: the secretariat, finance and internal audit. Every operating company has its own managing director who is named on the register and who presents to the board twice a year in person.
Four of the seven directors are independent, the audit committee is chaired by one of them, and the external auditor has been rotated twice since 2004. Related-party transactions are listed in the annual accounts with their amounts rather than described in a note.
